COMMERCIAL WORK AND ADVICE

We assist clients in negotiating and settling Share Purchase and Business Sale agreements. Which includes aspects such as conducting Due Diligence etc. We also draft various kinds of commercial agreements such as, Joint Venture agreements, Distribution agreements, Agency agreements, Service Level agreements, Lease agreements, etc.

SPECIAL SERVICES

The FINANCIAL INTELIGENCE CENTRE ACT (FICA) places certain obligation on service providers, particularly in the financial sector. We offer valuable advice on compliance with the Act and advantages that can be had.

There is a need for both the private and public sector to familiarise itself with the provisions of the PROMOTION OF ACCESS TO INFORMATION ACT OF 2000. The Act makes provision for amongst other things, submissions of manuals on information held by entities to the Dept of Justice, right to access information held by both state and private entities. Any entity may find itself requiring information in the hands of another entity or may itself be required to provide sensitive information. We offer valuable advice according to the Act and can also help to draft the requisite manual in terms of the Act.

We can also assist any company with compliance with the OCCUPATIONAL HEALTH AND SAFTEY LEGISLATION.

We provide advice on compliance with the BEE Act.

We register a variety of business entities such as companies,
Close corporations and trusts.

LITIGATION

We handle litigation extensively in both the High and Magistrate's Courts. Both Ms Molema and Mr Mampuru have the right of appearance in the High Court and thus they can appear there, which greatly reduces litigation costs to the benefit of our clients.

Ms Molema also acts as Commissioner at the small claims court.

We act as Arbitrators and also represent clients in such proceedings.

INTELLECTUAL PROPERTY LAW

We have the capacity to handle various aspects of Intellectual Property Law work. We register Trade Marks, give advice on aspects of Competition law (mergers and acquisitions, Unfair Competition), e.t.c.

In addition we can handle litigation that accompanies this field of practice including applications to the Competition Tribunal against determinations made by the Compitition Comission.

EMPLOYMENT LAW

We give advisce on Labour legislation, appear in the Labour Court, CCMA, Statutory and Non-Statutory Bargaining Councils etc. Ms Kedibone Molema also specialises in this field. She participates in disciplinary hearings in different capacities, such as chairing or representing either employers or employees. We also offer advice on various issues relating to Labour legislation and Employment policy.

We advise clients on compliance with various labour legislation, for instance the Employment Equity Act and the Skills Development Act. We also draft and review contracts to ensure compliance with the Basic Conditions of Employment Act and the Labour Relations Act.

FURTHER ASSISTANCE

We can assist major corporate clients in providing training to its employees in areas of human rights, Labour rights e.t.c. Internship programs can also be initiated whereby, an employee may be placed at our firm either to serve articles or to just get first hand experience of the “inns” of a legal practice. This may be necessary especially for people working in legal departments of companies. It is even more important to legal advisors in the private sector who can get the chance to acquire practical experience. They can then be enabled to do work that would otherwise have been referred to outside practitioners. Furthermore, this assists responsible employees as to the manner of outsourcing. They would know what information to provide and what to expect from their panel attorney.

Ms Molema has also conducted some classes to Candidate Attorneys in their preparation for the board exams. She is also a National Publicity Secretary of a national organization. Part of her duties is to produce a monthly Newsletter. It would be a pleasure to assist a corporate client in producing its own publication. Mr Mampuru has also had a couple of letters published in the attorney's journal “De Rebus”. Both members are very well read and keep track of legal developments.
